1. You and Locale Central

Locale Central is a product of KiwiSprout Limited, the entity you contract with and pay fees to based on the plan of Locale Central you’re using.

When we say you, your, users, users, account or client, we mean both you and the entity you are representing. When we say we, our, us, application, app, services, or product, we are referring to KiwiSprout Limited.

2. User access and responsibility

By creating an account, you agree to these terms. You are also responsible for any users you invite to an organisation.

We are not liable for any losses, loss of data, misuse of data, or abuse of data caused by yourself or users you invite to an organisation.

You are responsible for keeping login details for yourself confidential, and you will not share your login details with any other individual.

You are responsible for notifying us of any breach of security related to our product for your organisation or account.

You will not undermine the security or integrity of the app

You will not misuse our services in any way which may impair the functionality of the app

You will not attempt to gain unauthorized access to any sensitive data or materials of which you have not been given express permission to access.

You will not copy or modify any aspect of the app or service, including but not limited to: legal material, promotional material, algorithms or design practices.

Any account found in breach of our terms, as well as any organisations they represent, will be deleted. We will not be liable for any losses or loss of data caused by this action.

3. Liability and indemnity

You indemnify us against all losses, costs (including legal costs), expenses or liability that may be incurred arising out of, or in connection with, a third-party claim against us relating to your use of our service or any third party product (except as far as we are at fault).

4. Billing and subscriptions

If you are on a free plan your billing details are not required to use our app.

If you are on a paid plan you will be charged monthly, no refunds will be given for partial use of a month’s subscription.

If your automatic subscription payment fails, our policy is to retry payment up to 4 times within a 3 week period,  if all retries for payment fail, the subscription will be automatically cancelled.

It is your responsibility to cancel your subscription if you do not wish to continue your paid plan.

All cancelled subscriptions are final, cancelling your subscription will immediately downgrade your plan to a free plan.

We will not be liable for any losses or loss of data caused by cancelling your subscription or downgrading your plan.

If you are not satisfied with the service, it is your responsibility to terminate your subscription.

5. Data and privacy

We retain the right to remove any content that infringes on local laws or copyright.

It is your responsibility to backup your data, we are not required to backup or recover your data in the event of accidental or intentional deletion of your own data.

Where reasonable we have taken precautions to ensure the protection of your privacy and data as required by the law to an industry standard.

We collect and handle your data as outlined in our privacy policy.

6. Support and guarantees

We do not infer any guarantee of benefit from our app.

We do not warrant the service will be uninterrupted.

We give no warranty about the service or that it will meet your requirements

No support response time is guaranteed.

7. Wholesale, educators, and charities

You must adhere to any additional terms of trade provided with a contract for wholesale accounts, educators or charities.

It is your responsibility to ensure any users you invite to your organisation also agree with and adhere to additional terms of trade provided with a contract for wholesale accounts, educators or charities.

We provide no guarantee that you are eligible for a wholesale, educator, or charity agreement or any discounts.

8. Modern websites

Locale Central is built for and supports modern browsers and devices. A modern browser is any browser that both:

  • Successfully renders a site as intended built using the current web standards, without having written any browser-specific code, manipulation, hacks, forks or workarounds; and shows great performance during navigation.
  • One of the two latest versions of that browser provided as a stable release.

Examples of browsers that are not modern browsers include but are not limited to: Microsoft Edge 16, Internet Explorer 11, Safari 11, Chrome 76, Firefox 68 and earlier versions of all mentioned browsers.
